Job Overview
We are seeking an experienced Legal Counsel with a strong background in technology transactions and corporate law to support a dynamic and evolving business environment. This role will serve as a strategic legal advisor to technology, operations, and corporate stakeholders, providing practical guidance on commercial agreements, emerging technologies, regulatory compliance, and business initiatives. Candidates with significant experience negotiating complex technology contracts and advising on legal risk will be prioritized for consideration.
Must Haves
- Juris Doctor (JD) degree from an ABA-accredited law school
- Active membership in good standing with a U.S. state bar
- Minimum of 5 years of experience in technology law, corporate law, or a combination of both
- Demonstrated expertise drafting and negotiating complex technology and commercial agreements
- Strong understanding of corporate governance and general corporate legal principles
- Experience advising on vendor, software licensing, SaaS, cloud, and professional services agreements
- Excellent written and verbal communication skills with the ability to translate legal concepts into practical business guidance
- Strong organizational skills and ability to manage multiple priorities simultaneously
- Sound business judgment and risk assessment capabilities
- Collaborative mindset with the ability to work effectively across diverse business functions
What the Client Needs You to Do
The successful candidate will serve as a trusted legal partner supporting technology, procurement, operations, and corporate leadership teams. This role requires balancing legal risk with business objectives while providing practical, solution-oriented guidance on commercial transactions, regulatory compliance, privacy matters, and emerging technologies. The position offers opportunities to contribute to strategic initiatives involving artificial intelligence, legal operations modernization, and enterprise governance.
Key Responsibilities
- Draft, review, negotiate, and manage a broad range of commercial and technology-related agreements
- Provide legal counsel on software licensing, SaaS platforms, cloud services, IT infrastructure, consulting services, and vendor relationships
- Prepare and negotiate confidentiality agreements, non-disclosure agreements, data use agreements, and related legal documentation
- Advise business stakeholders on contracts involving sensitive data, including personally identifiable information and protected health information
- Support the evaluation, procurement, and governance of artificial intelligence solutions and related technologies
- Assess legal and regulatory risks associated with emerging technology initiatives and recommend practical mitigation strategies
- Provide guidance on privacy, data protection, and regulatory compliance obligations, including applicable federal and state requirements
- Support corporate legal matters such as governance activities, banking relationships, investment-related due diligence, and strategic business initiatives
- Review internal and external communications to ensure legal accuracy and compliance
- Identify potential legal risks and provide proactive recommendations to support business objectives
- Coordinate with external counsel when specialized expertise or additional legal support is required
- Contribute to legal operations improvements, process enhancements, and technology-driven initiatives within the legal department
